1. Definitions

"Special Order" means a product that is not typically held in our regular inventory and is ordered specifically at the client's request.

"Custom Order" means a product that is made to the client's unique specifications or requirements.

"Services" means any work performed by Lou's Police Distributors for the client, including but not limited to embroidery, alterations, delivery, and asset or inventory management.

2. Acceptance of Terms

Subject to Section 3, the client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. Any derogation from these terms must be expressly agreed to in advance in writing.

3. Order of Precedence

If a written contract signed by Lou's Police Distributors and the client, or a state or cooperative purchasing contract under which the order is placed, conflicts with these Terms and Conditions, that contract controls to the extent of the conflict.

4. Order Acceptance

An order is officially accepted by Lou's Police Distributors upon our written confirmation of the order.

5. Delivery

Delivery of goods shall be made to the address specified by the client in the order. The client is responsible for all shipping costs unless otherwise agreed in writing. The risk of loss or damage to the goods passes to the client upon delivery. Lou's Police Distributors will use reasonable efforts to meet estimated delivery timeframes, but such timeframes are not guaranteed.

6. Inspection, Acceptance, and Claims

The client shall inspect the goods upon delivery. Any claim for defects, discrepancies, shortages, or damage, and any claim regarding Services, must be made by written notice to Lou's Police Distributors, including by email to your LPD sales representative or the email address on your quote or invoice, within 5 business days after delivery of the goods or completion of the Services. If no written notice is received within that time, the goods and Services are deemed accepted. This section does not limit the warranty for alterations in Section 10 or warranty claims directed to the manufacturer under Section 9.

7. Payment Terms

Standard Terms: Our invoices are payable within 30 days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, Lou's Police Distributors reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due, except where limited by law, including Florida's Local Government Prompt Payment Act. Lou's Police Distributors is authorized to suspend any provision of services without prior warning in the event of late payment.

Special Projects: Lou's Police Distributors, Inc. reserves the right to request either 100% of the payment up front or a payment schedule of 50% down and 50% upon delivery. The specific payment terms for any special project will be outlined in the project proposal or order confirmation.

International Terms: Payment is due immediately and must be collected in full before the product is shipped. The accepted payment method is wire transfer. All payments must be made in US dollars.

8. Special/Custom Orders

Restocking Fee for Special Orders: For any special orders, a restocking fee of 25% of the order value will be charged if the order is canceled or returned. This fee covers the costs associated with the restocking process. The restocking fee will be deducted from the refund amount, if applicable.

Non-Refundable Custom Orders: Custom orders are non-refundable. Due to the unique nature of custom orders, they cannot be canceled or returned once the order has been placed and production has begun.

9. Disclaimer for Resold Goods

All goods sold by Lou's Police Distributors are subject to the original manufacturer's warranty. Lou's Police Distributors makes no independent warranties, express or implied, with respect to such goods, including any warranties of merchantability or fitness for a particular purpose. Any warranty claims related to the goods themselves must be directed to the manufacturer.

10. Warranty for Alterations

Lou's Police Distributors warrants that any alterations or modifications performed by its team on goods will be free from defects in workmanship for a period of 30 days from the date of delivery. This warranty covers the cost of labor and materials to correct such defects. It does not cover damage caused by misuse, neglect, normal wear and tear, or alterations made by parties other than Lou's Police Distributors.

11. Debt Recovery

If a payment is still outstanding more than sixty (60) days after the due payment date, Lou's Police Distributors reserves the right to engage the services of a debt recovery company. To the extent permitted by law, all legal expenses will be payable by the client.

12. Regulated Products

Certain products, including firearms, National Firearms Act (NFA) items, ammunition, and body armor, are regulated by federal, state, and local law. All sales of these products are subject to applicable law and to the buyer's eligibility, including any agency authorization, license, identification, background check, or other documentation that the law or Lou's Police Distributors requires. Lou's Police Distributors may refuse, hold, or cancel any order, in whole or in part, at its discretion.

13. Intellectual Property

Lou's Police Distributors' name, logo, trademarks, and its own materials, including its catalogs, quotes, website content, and other documents it creates, remain the exclusive property of Lou's Police Distributors. Manufacturer names and trademarks belong to their respective owners.

14. Indemnification

To the extent permitted by law, the client agrees to indemnify and hold harmless Lou's Police Distributors and its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising out of or relating to the client's use of our products or services, the client's breach of these Terms and Conditions, or the client's violation of any applicable law or regulation.

15. Limitation of Liability

Lou's Police Distributors shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or business opportunities, arising out of or in connection with the performance or breach of any agreement.

16. Force Majeure

Lou's Police Distributors will not be liable for any failure to perform its obligations if such failure results from circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or government regulations.

17. Termination for Breach

Either party may terminate the agreement by providing written notice to the other party in the event of a material breach of these Terms and Conditions by the other party. Upon termination, the client shall pay for all goods delivered, services provided, and expenses incurred up to the date of termination.

18. Governing Law and Jurisdiction

All contractual relations will be governed exclusively by the laws of the State of Florida, United States. Any legal dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida.

19. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

20. Entire Agreement

Subject to Section 3, these Terms and Conditions, along with any invoices or orders, constitute the entire agreement between Lou's Police Distributors and the client, superseding any prior agreements or understandings, whether written or oral.

21. Amendments

Lou's Police Distributors reserves the right to amend these Terms and Conditions at any time. Any amendments will be communicated to the client in writing and will be effective upon such communication.
